Startup Funding Unlock is a consultation session specifically designed for early-stage startups, focusing on practical fundraising strategies, provided by TEC Professional Service Partners. The main purpose of this session is to lower the barrier for startups accessing the capital market, allowing founders to clarify key fundraising issues they may face through in-depth dialogue with financial advisors (FAs), thereby reducing the likelihood of passively accepting terms during the formal fundraising process.

① Fundraising—Fundraising timeline planning, investor mapping, pitch deck and data room preparation
② Term Sheet & Key Terms—Analysis of core terms such as valuation, liquidation preference, anti-dilution, board seats, and protective clauses, along with founder-friendly negotiation strategies
③ Company Structure—Equity structure design, ESOP setup, founder vesting arrangements, VIE and cross-border structure selection
④ Team Incentives—Option pool allocation, core team incentive plans, vesting schedule, buyback mechanisms for departing employees, etc.
